Article 1: object

The General Conditions of Sale are intended, on the one hand, to inform any potential buyer of the terms and conditions under which the seller (hereinafter “PROPICE – Charlinès Cosmetics SAS” or “PROPICE” or “the seller”) proceeds with the sale and delivery of the products ordered and, on the other hand, to define the rights and obligations of the parties in the context of the sale of products by PROPICE - Charlinès Cosmetics SAS to the consumer (above and below "the Buyer", "the Customer" or "the User"). They apply, without restriction or reservation, to all sales of products offered by PROPICE – Charlinès Cosmetics SAS on its website (hereinafter the “site” or “the website”).

Consequently, the fact for the Buyer to order a product offered for sale on the PROPICE – Charlinès Cosmetics SAS Website implies full acceptance of these General Conditions of Sale, which the Buyer acknowledges having read prior to his order. .

PROPICE – Charlinès Cosmetics SAS reserves the right to modify these General Conditions of Sale at any time, without notifying the buyer. Nevertheless, the General Conditions of Sale applicable to the order are those accepted by the Buyer at the time of placing the order.

Article 2 - Formation of the contract & Legal notice

The purchase contract is concluded with Charlinès Cosmetics SAS under the commercial name PROPICE.

By placing products in our online store, we submit the general conditions of sale that will follow for any order that will be made on our Site, from the moment the user clicks on the button to order. He will receive a confirmation email afterwards. A contract binding the two parties (our website and the user) can therefore be concluded in advance as follows:

  • If the buyer has chosen to pay by credit card, the contract is concluded when it is debited.
  • If another payment provider such as PayPal is proposed and chosen, the contract is concluded as soon as your payment has been transferred to the provider.

Article 3 - Information on the site and accessibility of the site

www.propice-paris.com is an e-commerce site owned and managed by the PROPICE brand owned by Charlinès Cosmetics SAS. The website is open to all users of the internet network in principle accessible 24 hours a day, 7 days a week, except for interruption, scheduled or not, by PROPICE or its service providers, for the purposes of its maintenance and/or security or in the event of force majeure. PROPICE cannot be held responsible for any damage, whatever its nature, resulting from the unavailability of the site. PROPICE reserves the right to make the site evolve, for technical or commercial reasons. When these modifications do not alter the conditions of the provision of services, in a substantial and negative way, the buyer may be informed of the modifications made, but his acceptance is not requested.

By registering on the site, the buyer guarantees to PROPICE that he is of legal age and has the legal capacity to contract. PROPICE may delete the customer's account at any time, for any reason, at its sole discretion.

Article 4 - Products

4.1 Description of products

The products sold by PROPICE are those which appear on the site, on the day of the consultation of the site by the buyer and within the limit of available stocks. PROPICE reserves the right to withdraw products from sale at any time. Before any order, you can consult the characteristics of the products sold on the PROPICE website. Prices may vary by country on the website as well as the delivery method and type of product.

4.2  E-gift card

In the event that e-gift cards are offered on the site, on an ad hoc or permanent basis: PROPICE may sell e-gift cards (gift code) which can be used by the customer or transmitted as a gift to third parties. These e-gift cards are non-refundable. When a "satisfied or refunded" offer is offered on the site, it does not apply to gift cards. A product purchased with a gift code can be exchanged by sending a new gift code. The gift code or promo code can be used within 6 months from its date of issue.

4.3 Product Availability

The products are offered within the limits of available stocks. PROPICE cannot guarantee the availability of the products presented on the site. In case of unavailability of one of the products, the buyer will be informed as soon as possible by email or telephone of the unavailability of the products and the cancellation of his order. In case of cancellation of the order, for unavailability, the buyer's order will be automatically canceled and his bank account will not be debited. If the product is not available and the customer's account has already been debited, PROPICE will refund the amount to the debited account as soon as possible. PROPICE cannot be held responsible in the event of cancellation of an order due to a shortage of stock. PROPICE is entitled to terminate the contract binding the seller to the buyer from the moment he does not receive the delivery of his goods or that the delivery is erroneous and this, despite the prior conclusion of the agreement between the two parts. PROPICE is required to inform the customer of the unavailability of the service as soon as possible. All sums already paid by the buyer will be refunded to him immediately after the cancellation of the order.

In the event of a stock shortage, PROPICE also reserves the right to establish customer waiting lists for the delivery of its products. In this case, the buyer is debited from his account at the time of the order without being delivered; as soon as it is restocked, the product ordered is then sent to the buyer, depending on his position on the waiting list. The waiting periods before restocking, indicated to the buyer at the time of the order are indicative and not contractual. Once the order has been placed and the buyer is on the waiting list, the order cannot be cancelled. The order may be refunded upon receipt, according to the return and refund terms of these conditions.

Item - 5 Prices

The prices of the products are indicated in euros on the PROPICE website. During the final validation of the order, the price takes into account the VAT applicable on the day of the order and possible delivery costs. PROPICE reserves the right to modify the delivery costs at any time before the validation of the order by the buyer.

The price charged to the buyer will be the price indicated during the final payment and the price indicated on the confirmation email.

Article 6 - Orders

By validating the payment of the order, the buyer accepts without reserve the general conditions of sale of PROPICE, as well as the confidentiality policy.

(1)  Each product that the buyer wishes to add to the order must be added to the basket, by clicking on "Add". A summary of the total items will be made before proceeding to payment.

(2)  Any order on the PROPICE website requires information from the buyer in order to be able to deliver the goods and make payment. During the first order, PROPICE sends an account confirmation email to the buyer. The latter is not obliged to create an account, but with this account he will be able to access the customer data he provided during the first order, and benefit from gifts and discounts from PROPICE.

(3)  In order to be able to continue with the purchase, the buyer must fill in and verify the billing and delivery address as well as the method of payment. As soon as the payment is validated, a confirmation email is sent by email to the email address provided beforehand. It is recommended that the buyer keep this document.

(4) PROPICE takes the greatest care in the presentation and description of these products to best satisfy the customer's information. It is possible that the customer receives following an order a part previously returned by another person. It is specified that PROPICE only accepts the return of intact and unused products, these two conditions being checked before the returned products are returned to stock. 

Article 7 - Delivery, shipping costs and transport

7.1 Delivery

PROPICE delivers its merchandise with external shipping services. PROPICE delivers its products directly to homes and has no physical points of sale. The delivery time of the products is 2 to 6 working days depending on the country and the means of delivery. These deadlines are given as an indication by the carriers and do not bind PROPICE.

7.2 Shipping costs

The delivery costs are indicated before the payment of the order. A price list is available on the delivery prices page.

In some countries that are not members of the European Union, the buyer may be subject to additional customs and shipping costs. PROPICE will not be held responsible for the payment of these additional costs and considers that it is the responsibility of the consumer to find out about the customs costs of the country in which he is.

7.3 Transport and damage

If the goods are delivered with obvious damage due to transport, the buyer must inform the service delivery company (DPD or Chronopost) without delay and contact PROPICE customer service immediately in order to allow the latter to deal with complaints as soon as possible. Any complaints concerning damage related to the delivery made after the day of delivery may not be taken into account by PROPICE.

7.4 Terms of delivery

The delivery is made to the delivery address indicated by the customer, it being specified that this must be the residential address of the customer, of a natural person of his choice or of a legal person (delivery to his company ).

Delivery cannot be made to hotels or PO boxes. The customer must ensure the accuracy and completeness of the data he provides. The customer is required to always update his personal information. In the event of an error in the wording of the recipient's contact details, PROPICE cannot be held responsible for the impossibility of delivering products.

In case of impossibility to carry out the delivery, the carriers mandated by PROPICE endeavor to find a secure place to deposit the product there.

The carriers mandated by PROPICE also leave a notice at the delivery address indicating the location of the product and the procedure to follow for a new delivery. In the event of an incorrect address or in the absence of collection by the customer, the latter may contact PROPICE or the carrier to organize the redelivery of his order at a collection point. Failing this, the product is returned to the PROPICE warehouse. In the event of return of the goods to the PROPICE warehouses, no reshipment can be carried out and the customer will be reimbursed within a reasonable time from receipt of the goods. 

PROPICE delivers orders within a maximum period of 14 (fourteen) working days for delivery in mainland France and 20 (twenty) working days for international delivery (Europe), this period being counted from the day after validation. of the order. The day after the launch of a new product or restocking, and throughout the month of December, the delivery time may be increased by 10 (ten) days, given the volume of orders. In order for these deadlines to be respected, the customer must ensure that he has communicated exact and complete information concerning the delivery address (such as, in particular: street number, building number, staircase number, access, names and/or intercom numbers, etc...).

PROPICE cannot be held responsible for the delay in delivery not being its fault or justified by a case of force majeure (as defined below).

If the delivery time is exceeded, the customer may request the cancellation of the sale and obtain within a maximum period of 14 (fourteen) days of his request in this sense the reimbursement of the sums paid on the occasion of the order. Notwithstanding the foregoing, PROPICE cannot be held responsible for the harmful consequences resulting from a delay in delivery, only the reimbursement of the product by PROPICE being possible to the exclusion of any other form of compensation.

Article 8 - Terms of Payment

The buyer has the following payment options:

  • Credit card (Amex, PayPal, Carte Bleue, Visa, Mastercard)
  • The transaction will be carried out in a secure manner, in accordance with 3DS standards.
  • The account will be debited as soon as the order process is completed.

PayPal is available: The customer pays the invoice amount online via PayPal. Personal and financial information is sent to PayPal servers. The customer will need to be registered in principle or have a PayPal account to confirm the payment instruction (except in the case of guest access).

Additional information is available during the order transaction. Gift code and promo code it is possible for the buyer to pay part or all of the amount by gift code or promo code. To do this, simply enter the code provided at the time of payment and validate it. The amount of the gift code or promo code will then be deducted from the total amount and the Buyer can continue with his order.

Article 9 - Right of withdrawal, refund and return of goods

9.1 Right of withdrawal

The buyer has a period of 14 (fourteen) days from receipt of the order to exercise his legal right of withdrawal.

The buyer exercising his right of withdrawal under the conditions provided for in this article (9.1.1) in terms of deadlines and methods of returning the products, may obtain a refund corresponding to the amount of the returned products. If the buyer wishes to exchange his order, he must refund his order, then return to the site to place a new order.

9.1.1 Terms of return of goods

(1) Return costs are free regardless of the country. The procedure is explained to each buyer who requests it via the contact form. The buyer has a period of 14 days to exercise his right of withdrawal from receipt of the order, respecting the return conditions.

(2) The products must imperatively be returned to PROPICE at the head office at 11, rue des Belles Feuilles 75116 Paris in a state suitable for a new marketing (products in perfect condition accompanied by their original packaging, accessories, instructions, etc.) , except in the case of a damaged delivery by post. Only unused PROPICE products can be returned and refunded. If the PROPICE product is used by the buyer, then the product cannot be refunded. PROPICE inspects the goods returned by the buyer to ensure that they comply with these return conditions before proceeding with the refund. If a used product or unsupported merchandise is returned to PROPICE by the buyer, failing to be reimbursed, this product or this merchandise may be returned to the buyer, at his expense and at his request.

(3) The buyer should return the goods to the address provided by customer service. The procedure is explained to each buyer who requests it via the contact form.

9.2 Commercial warranty

The buyer has a period of 14 days to activate this guarantee from the receipt of the package. He must respect the above terms in terms of reimbursement and return of the goods. The misuse of the commercial warranty is prohibited. In addition, it is forbidden to make repetitive returns. The buyer has the right to one return and one refund per order. Each order can only contain one product.

Article 10 - Retention of title

PROPICE retains full ownership of the products sold until full payment of the full price, in principal, costs, taxes and mandatory contributions included.

Article 11 - Intellectual property

The PROPICE website and everything on it (images, logos, videos, texts, etc.) are the exclusive property of PROPICE (excluding royalty-free images) . Any total or partial reproduction is prohibited and punishable by law.

Article 12 - The buyer's obligations

Following the purchase of a product, PROPICE offers the possibility to the buyer to publish photos of his product or photos involving the use of his product on social networks. The buyer authorizes PROPICE to reproduce and distribute this public content on PROPICE's website and social networks.

PROPICE is not responsible for messages from the buyer accompanying the publications of PROPICE content on social networks. The buyer nevertheless agrees that the content he posts is in accordance with the law, and that in particular no statement can be considered illegal, discriminatory, racist or violent.

Article 13 - Legal guarantees and limitation of liability

PROPICE's liability with respect to any product purchased on the site is strictly limited to the purchase price of the latter. PROPICE shall in no event be liable for the following losses, regardless of their origin:

  • loss of revenue or sales
  • operating loss
  • loss of profits or contracts
  • loss of planned savings
  • data loss
  • loss of work or management time
  • image damage
  • loss of opportunity, and in particular to order a product,
  • moral damage.

The documents, descriptions and information relating to the products appearing on the site are not covered by any guarantee, explicit or implicit, with the exception of the guarantees provided for by law. PROPICE does not provide any warranty regarding any harm that may be caused by the transmission of a computer virus, (or other computer programs such as worm, time bomb, trojan horse, cancel bot, logic bomb) or any other form of routine programming designed to damage, destroy or otherwise impair the functionality of a computer or interfere with its proper functioning, including any transmission resulting from a download of any content made by the customer, software used by the latter to download content, from the site or from the server that allows access to it. In this regard, the customer acknowledges that it is his responsibility to install appropriate antivirus and security software on his computer hardware and any other device in order to protect them against any bugs, viruses or other programming routines of this order. proving harmful.

The customer acknowledges assuming all risks associated with any content downloaded or otherwise obtained through the use of the site and agrees that he is solely responsible for any damage caused to his computer system or any loss of data resulting from the downloading of this content.

PROPICE is required to deliver products that comply with the contractual provisions. The products are considered to comply with the contractual provisions if the following conditions are met: (i) they must comply with the description and have the characteristics displayed on the site; (ii) they must be suitable for the purposes for which such products are generally designed; (iii) they must meet the quality and resistance criteria which are generally accepted for products of the same type and which can reasonably be expected.

In addition, PROPICE guarantees consumers against lack of conformity and hidden defects for the products for sale on the site under the following conditions: Visible defect. The presence of an apparent defect on a product must give rise to a complaint by contact form or e-mail (contact@propice-paris.com) within three working days of delivery.

Any complaint must explain the defect concerned. Otherwise, no complaint is admissible, and no return or exchange is possible. The product must be returned, in its original packaging, in its original condition, new, unused, with the references of the initial order and a copy of the complaint to PROPICE's head office, after sending a e-mail indicating the apparent defect of the product referred to above. Cases of apparent defect confirmed by PROPICE give rise, depending on the content of the customer's complaint, either to the establishment of a credit note for the benefit of the customer, or to the replacement of the product, or to the outright reimbursement of the price to the customer within a 14 day period. In case of non-compliance with the return procedure, no exchange or refund or credit is possible. Non-compliance – Hidden defects. Subject to the validation of a non-conformity or a hidden defect by PROPICE or the manufacturer as the case may be, the customer benefits from the following guarantees: PROPICE whose head office is located at 11, rue des Belles Feuilles - 75116 Paris, France, acts as guarantor within the meaning of the provisions of articles L 217-5 and following of the Consumer Code and 1641 and following of the Civil Code.

So the customer:

  • Benefits from a period of two (2) years from the delivery of the product to act in the absence of conformity of the product,
  • Is exempted from providing proof of the existence of the lack of conformity of the good during the six (6) months following the delivery of the product,
  • Can choose between repairing or replacing the product, subject to the cost conditions provided for in article L217-9 of the consumer code;

The legal guarantee of conformity applies independently of the commercial guarantee described below.

In addition, the customer can also implement the legal guarantee for hidden defects of the thing sold, within the meaning of articles 1641 and following of the Civil Code. The legal guarantee against hidden defects allows the customer, within two years from the discovery of the defect, to reimburse a product which has proved unsuitable for its use.

The warranty against hidden defects allows the customer to be protected against hidden defects of the product purchased and which prevent its use or affect it to such an extent that the Customer would not have purchased it. The customer then has the choice between two options: keep the product and request a price reduction, or return the product and request reimbursement of the price paid, in accordance with article 1644 of the Civil Code. In order to implement these guarantees, the product must be returned, in its original packaging, in its original condition, new, unused, with the references of the initial Order and a copy of the complaint to the registered office of PROPICE , after sending an e-mail indicating the reason for the return of the Product. For all practical purposes, the following legal provisions are recalled:

Art. L217-4 of the Consumer Code: “The seller delivers goods that comply with the contract and is liable for any lack of conformity existing at the time of delivery. He is also liable for any lack of conformity resulting from the packaging, the assembly instructions or the installation when this has been charged to him by the contract or has been carried out under his responsibility. "Art. L217-5 of the Consumer Code: "The good complies with the contract: 1° If it is suitable for the use usually expected of a similar good and, where applicable (a) if it corresponds to the description given by the seller and possesses the qualities that the latter presented to the buyer in the form of a sample or model; (b) if it presents the qualities that a buyer can legitimately expect in view of the public statements made by the seller, by the producer or by his representative, in particular in advertising or labelling; 2° Or if it has the characteristics defined by mutual agreement by the parties or is suitable for any special use sought by the buyer, brought to the seller's attention and which the latter has accepted. " Art. L217-7 of the Consumer Code: “The defects of conformity which appear within twenty-four months from the delivery of the goods are presumed to exist at the time of delivery, unless proven otherwise. For goods sold second-hand, this period is set at six months. The seller can challenge this presumption if it is not compatible with the nature of the goods or the lack of conformity invoked. »

Art. L217-8 of the Consumer Code: “The buyer is entitled to demand that the goods conform to the contract. He cannot, however, contest conformity by invoking a defect which he knew or could not ignore when he contracted. The same applies when the defect has its origin in the materials supplied by him. »

Art. L217-9 of the Consumer Code: “In the event of a lack of conformity, the buyer chooses between the repair and the replacement of the good. However, the seller may not proceed according to the choice of the buyer if this choice entails a manifestly disproportionate cost with regard to the other method, taking into account the value of the good or the importance of the defect. He is then required to proceed, unless this is impossible, according to the method not chosen by the buyer. »

Art. L217-10 of the Consumer Code: “If the repair and replacement of the good is impossible, the buyer can return the good and have the price refunded or keep the good and have part of the price refunded. The same option is open to him: 1° If the solution requested, proposed or agreed pursuant to Article L. 217-9 cannot be implemented within one month of the buyer's complaint; 2° Or if this solution cannot be without major inconvenience for him given the nature of the property and the use he is looking for. However, the resolution of the sale cannot be pronounced if the lack of conformity is minor. »

Art. L217-11 of the Consumer Code: “The application of the provisions of articles L. 217-9 and L. 217-10 takes place at no cost to the buyer. These same provisions do not preclude the award of damages. »

Art. L217-12 of the Consumer Code: “The action resulting from the lack of conformity is prescribed by two years from the delivery of the goods. »

Art. L217-13 of the Consumer Code: "The provisions of this section do not deprive the buyer of the right to exercise the action resulting from redhibitory defects as it results from articles 1641 to 1649 of the civil code or any other action of a contractual or extra-contractual nature recognized by law. »

Art. 1641 of the Civil Code: "The seller is bound by the guarantee on account of the hidden defects of the thing sold which render it unfit for the use for which it is intended, or which diminish this use so much that the buyer would not have it acquired, or would have given only a lesser price, if he had known them. »

Art.1642 of the Civil Code: “The seller is not liable for apparent defects of which the buyer has been able to convince himself. »

Art. 1643 of the Civil Code: “He is liable for hidden defects, even if he did not know of them, unless, in this case, he has stipulated that he will not be bound by any guarantee. »

Art. 1644 of the Civil Code: “In the case of Articles 1641 and 1643, the buyer has the choice of returning the item and having the price refunded, or keeping the item and getting part of the price refunded. »

Art. 1646 of the Civil Code: “If the seller is unaware of the defects of the thing, he will only be required to refund the price, and to reimburse the purchaser for the costs incurred by the sale. »

Art. 1648 of the Civil Code: “The action resulting from redhibitory defects must be brought by the purchaser within two years from the discovery of the defect. (…)”.

Force Majeure

In the event of the occurrence of an event of force majeure preventing the execution of these GCS, PROPICE informs the customer within fifteen (15) days of the occurrence of this event, by email or by registered letter with acknowledgment reception. Expressly, are considered as cases of force majeure or fortuitous event, in addition to those usually retained by the jurisprudence of French courts and tribunals, total or partial strikes, lockouts, riots, boycotts or other actions of an industrial nature or disputes business, civil disturbance, insurrection, war, bad weather, epidemic, blockage of means of transport or supply for any reason whatsoever, earthquake, fire, storm, flood, water damage, governmental or legal restrictions, legal modifications or regulatory forms of marketing, computer failure, blocking of telecommunications, including wired or wireless telecommunications networks, and any other case beyond the control of the parties preventing the normal execution of the contractual relationship. All of the parties' obligations are suspended for the duration of the force majeure event, without compensation. If the force majeure event continues for more than three (3) months, the transaction concerned may be terminated at the request of PROPICE or the client without compensation on either side. Failure to pay by the customer cannot be justified by a case of  force majeure.

Article 15 - Partial invalidity

If one or more stipulations of these GCS are held to be invalid or declared as such pursuant to a law, a regulation or following a final decision of a competent jurisdiction, the other stipulations will retain their full force. and their scope.

Article 16 - No waiver

No tolerance, inaction or inertia on the part of PROPICE may be interpreted as a waiver of its rights under the terms of the GCS.

Article 17 - Applicable texts and competent jurisdiction

Sales of PROPICE products to individuals and professionals are subject to French law regardless of the buyer's country of residence and the place of placing the order. Any dispute relating to the existence, interpretation, execution or termination of the contract concluded between PROPICE and the buyer, even in the event of multiple defendants, will be, in the absence of an amicable agreement, the exclusive jurisdiction of the competent French courts in application of the rules enacted by the Civil Code and the Consumer Code.

Article 18 - Citeo

Charlinès Cosmetics SAS, owner of the Propice brand , is a member of Citeo. Citeo is a private, non-profit company specializing in the recycling of household packaging and graphic paper. Citeo's activity is regulated by state approval. Charlinès Cosmetics SAS has held a customer contract with Citeo for REP packaging since 04/28/2022.

Article 62 of the anti-waste law for the circular economy (AGEC law) adopted on February 10, 2020 provides for the establishment of a unique identifier for all companies or entities subject to the principles of Extended Producer Responsibility (REP).

Since January 1, 2022, Charlinès Cosmetics SAS (trade name, Propice) has had a unique identifier under the number: FR258490_01YEST, generated by the Ecological Transition Agency (ADEME). Specific to each REP, it makes it possible to identify the company registered with an approved company and subject to the principle of REP.

The site www.propice-paris.com and its different versions are hereinafter collectively referred to as the “Site”.
